1. Service provider

In these Terms and Conditions, the service provider is referred to as “CalMate”, the “Provider” or “we”; a natural person or organisation using the service is referred to as the “User”; and a paying workplace or organisation is referred to as the “Subscriber”.

2. Scope and related documents

These Terms apply to the CalMate iOS and Android applications, the supporting backend service, the calmate.hu website, and the workplace web administration and shift-planning interfaces, together referred to as the “Service”.

Processing of personal data is governed by the CalMate Privacy Notice, and cookies on the public website are governed by the Cookie Notice. Purchases made through an application store are also subject to the mandatory terms of the Apple App Store or Google Play. If store terms and these Terms differ, the store’s mandatory rules apply to the relevant payment transaction and store licence, while these Terms apply to the CalMate account and operation of the Service, without limiting mandatory law.

The contractual language is Hungarian. This English translation is provided for information; the Hungarian version prevails in case of discrepancy. The Provider is not subject to a separate code of conduct.

3. Contract formation and electronic contracting

A CalMate account is generally required to use the Service. The contract is formed when registration is completed, a new account created through social sign-in is activated, or, for a paid plan, when the purchase or subscription is confirmed.

The contract is concluded electronically, is not deemed a written contract and is not separately filed by the Provider as an individual contract. The Provider and the selected payment provider record the status, transaction identifiers and billing data connected to the account and subscription. The current Terms remain available on the website and can be saved to a durable medium.

Before final confirmation, the User can correct input errors in CalMate or on the Stripe, App Store or Google Play interface. The payment provider and CalMate may send electronic confirmation of the purchase and subscription status.

The Service is not intended for anyone under 16. A person with limited legal capacity may use it only with any representative consent required by applicable law. A person acting for an organisation or workplace must be authorised to represent that organisation or order the subscription.

4. The Service

CalMate may provide, among other things:

  • a personal shift calendar, shift templates, reminders, earnings and working-time calculations, and statistics;
  • management of workplaces, members, roles, positions and work areas;
  • workplace shift planning, publishing, unavailability and shift-handover workflows;
  • workplace chat, announcements, tasks, events and notifications;
  • web administration, exports, calendar feeds and other supplementary features available under the relevant plan.

The exact scope, technical requirements and plan availability of each feature are shown in the application or web administration interface. CalMate is not an employer, employment agency, payroll provider, accountant or official working-time recording system. Earnings, premium, tax, working-time and statistical calculations are informative only. Official records and compliance with employment law remain the responsibility of the User and the relevant employer.

5. Accounts, permissions and workplace responsibility

The User must provide accurate and current information, keep credentials confidential and promptly report unauthorised use. Accounts are personal. A User may act under another person’s identity or account only with a valid legal basis and appropriate authority.

Workplace owners and administrators are responsible for member invitations and permissions, lawful handling of schedules and workplace data, and providing employees with notices required from the employer or other organisation. The workplace owner counts towards the plan’s member limit.

The User is responsible for text, images and other content they upload or share and must have the right to use and disclose that content. Illegal, misleading, threatening, hateful, rights-infringing, malicious or otherwise improper content is prohibited.

6. Free and paid plans

Some CalMate features are free, while others require a CalMate PRO or Workplace subscription. The purchasing interface shows the limits of the free plan and the current contents of paid plans.

Personal PRO and Workplace subscriptions are separate entitlements. A Workplace plan provides the member capacity and shared features of its workplace; it does not automatically grant every member a personal PRO entitlement.

7. App Store and Google Play subscriptions

The relevant application store manages payment, renewal, cancellation and store-refund requests for subscriptions started through the App Store or Google Play. Before purchase, the store shows the exact price, currency, billing period, any trial and renewal conditions.

Automatic renewal can be disabled in the Apple or Google account subscription settings. Deleting the CalMate account or application does not itself cancel a store subscription. The store’s restore function can be used to verify an existing entitlement.

8. Stripe Workplace subscriptions

8.1. Eligibility and territory

Stripe Checkout Workplace subscriptions are available to businesses and organisations acting for economic or professional purposes and having a billing address in the European Union. The purchase may be initiated by the owner of the workplace recorded in CalMate. The person completing the purchase confirms that they are authorised to represent the Subscriber and approve recurring charges.

At purchase, Stripe may request a business name, billing address, contact details, payment method and, where supported, a tax number. Stripe processes card details; CalMate does not receive them.

8.2. Plans and fees

The monthly Workplace plans available on the effective date of this version are:

Fees are in Hungarian forints and include applicable taxes. The recurring fee displayed by Stripe Checkout immediately before final confirmation always controls at the time of contracting. A bank or card issuer may charge its own fee or currency-conversion cost, which CalMate does not control.

8.3. Trial

An eligible new Workplace subscription may receive one 14-day trial. CalMate checks eligibility against the previous production Workplace subscriptions of the workplace and its owner across Apple, Google Play and Stripe. A valid payment method may be required to start the trial.

Unless cancelled before the trial ends, the selected plan’s monthly fee becomes due automatically at the end of the trial and the subscription then renews monthly. Before confirmation, Stripe displays the trial end and first charge.

8.4. Recurring payments, activation and invoices

By confirming Stripe Checkout, the Subscriber authorises Stripe to charge the selected plan fee on behalf of CalMate after the trial and at the beginning of each subsequent billing period.

The Stripe success page alone does not prove activation of the CalMate entitlement. The plan becomes active after CalMate processes an authenticated Stripe server notification. Stripe may send a payment receipt; CalMate separately issues and sends the official invoice for each successful positive charge.

If a charge fails, Stripe may retry it. CalMate may provide temporary grace or retry access while payment is being resolved and may then restrict workplace modifications. When there is no active subscription or the member limit is exceeded, existing data may remain viewable while writing and planning functions are disabled.

8.5. Plan changes

An upgrade may take effect immediately. Stripe may charge a prorated difference for the remainder of the billing period and issue an immediate invoice. A downgrade is generally scheduled for the end of the current billing period. Changing plans during a trial does not end the remaining trial. Before approval, Stripe displays the exact immediate charge or scheduled change.

If the lower plan’s capacity is below the current workplace membership, the Subscriber must reduce membership before the change takes effect. Otherwise, workplace modifications may be restricted.

8.6. Cancellation, expiry and workplace deletion

A Stripe subscription can be cancelled in the Stripe customer portal opened from the CalMate web administration interface. Cancellation takes effect at the end of the current billing period. The paid entitlement remains usable until then and no further full monthly fee is charged.

Attempting to delete the CalMate account, application or workplace does not replace cancellation. While a Stripe entitlement is active, or has been cancelled but not yet expired, workplace deletion may be blocked until the entitlement period ends. Subscription expiry does not automatically delete workplace data.

8.7. Refunds and ineligible subscriptions

The fee for a current monthly period is generally non-refundable upon cancellation unless mandatory law, Stripe rules or an individual CalMate decision requires otherwise.

The system may terminate and refund a Stripe subscription created with a non-EU billing address or conflicting with an active Apple or Google Play subscription for the same workplace. Depending on Stripe and the card issuer, a refund may take several business days to appear.

9. Consumer withdrawal and termination rights

A consumer is a natural person acting outside their trade, profession or business. Under section 8.1, Stripe Workplace Checkout is intended for organisational subscriptions for business or professional purposes, so the statutory consumer right to withdraw or terminate without reason within 14 days generally does not apply. The 14-day Workplace trial is a commercial benefit and is not the statutory withdrawal period.

If a consumer subscribes through the App Store or Google Play, withdrawal and refund requests should first be submitted through the relevant store’s designated process. This does not limit mandatory consumer rights. Where CalMate contracts directly with a consumer at a distance, the consumer may terminate without giving reasons within 14 days of contracting by sending a clear statement to hello@calmate.hu. If performance began before the 14 days expired at the consumer’s express request, CalMate may charge the proportionate fee for the service supplied before termination, within the limits of mandatory law.

10. Availability and changes to the Service

CalMate seeks to provide continuous and secure operation but does not guarantee uninterrupted or error-free availability. Maintenance, security events, third-party failures, application-store incidents or network outages may temporarily restrict the Service.

The Provider may develop, change or discontinue features. For a material adverse reduction to a paid plan, the Provider will give appropriate advance notice and allow the Subscriber to cancel renewal before the change takes effect. Changes required for security, law or abuse prevention may take effect immediately.

11. Prohibited use

In particular, Users must not:

  • gain unauthorised access, test vulnerabilities or circumvent security measures;
  • use another person’s account, payment method or personal data without authority;
  • overload, scrape, reverse engineer or improperly integrate the Service;
  • conduct unlawful monitoring, make discriminatory workplace decisions or unnecessarily record special-category personal data;
  • handle content that infringes intellectual property, privacy, trade secrets or applicable law.

12. Intellectual property

The CalMate application, website, software, visual identity, database structure, documentation and Provider-created content are protected by copyright and other intellectual-property rights. For the contract term, the User receives a limited, non-exclusive, non-transferable right to use the Service for its intended purpose.

The User retains ownership of their content and grants CalMate a non-exclusive licence, limited to what is necessary to operate the Service, to store, technically process, display and transmit that content to authorised recipients.

13. Restriction, suspension and termination

The Provider may proportionately restrict or suspend access if the User materially breaches these Terms or law, fails to pay, exceeds plan capacity, endangers the security or rights of others, or where protection of the Service requires it. Where possible and not urgent, the Provider will first request that the User remedy the breach or deficiency.

The User may terminate their account through the account-deletion function if there is no workplace-ownership or active-subscription issue that must first be resolved. The Privacy Notice explains deletion and retention. The User must export required data before deleting an account or workplace.

14. Liability

The Provider supplies the Service with generally expected professional care. To the extent permitted by mandatory law, the Provider is not responsible for loss caused by incorrect User data, unauthorised permission management, misuse, the User’s device or network, or an independent Apple, Google, Stripe, hosting, email or internet-provider outage.

CalMate calculations of earnings, working time, premiums or statistics, weather data and AI suggestions do not replace official records or expert decisions. The authorised User or employer is responsible for verifying calculations, saving and publishing schedules, and complying with employment law.

Nothing excludes or limits liability for intentionally caused loss, breach causing death or injury, or where exclusion is prohibited by law. These Terms do not limit a consumer’s statutory conformity and warranty rights for digital services.

15. Complaints and disputes

Users may submit complaints by email to hello@calmate.hu or by post to the Provider’s registered office. The Provider will generally provide a substantiated and verifiable response to a written consumer complaint within 30 days.

For a consumer dispute, the consumer may contact the conciliation body competent for their residence or stay, or the body competent for the Provider’s registered office:

The Provider cooperates in conciliation proceedings. Consumers may also contact the competent consumer-protection authority or a court. The European Union’s former Online Dispute Resolution platform was discontinued on 20 July 2025 and no longer accepts complaints.

For a non-consumer dispute, the parties will first attempt direct consultation.

16. Changes to these Terms

The Provider may change these Terms due to changes in law, new or modified functionality, a change in pricing or business model, security requirements or clarification of Service operations. We will generally notify existing Users of a material adverse change at least 30 days before it takes effect by email, in-app notice or web notice.

If the User does not accept the change, they may terminate their account or disable subscription renewal before the effective date. Terms accepted at purchase apply to an already paid period unless mandatory law or an immediate security requirement requires otherwise.

17. Governing law, jurisdiction and miscellaneous provisions

Hungarian law governs the contract. For consumers, this choice does not remove mandatory protection under the law of their habitual residence or limit mandatory consumer jurisdiction rights.

For non-consumer disputes, the parties agree to the exclusive jurisdiction of the competent Hungarian court for the Provider’s registered office, subject to subject-matter jurisdiction rules.

If any provision is invalid or unenforceable, the remaining provisions remain effective. A one-time failure by the Provider to exercise a right is not a waiver of that right.
